Hunton Andrews Kurth LLP, an international law firm, is actively recruiting a Paralegal in our Houston office. This position assists lawyers and non-attorney timekeepers with preparation of complex legal documents, mid-level legal research activities and other tasks related to the Corporate practice area. Provides leadership in supporting firm, office and team initiatives and in support of management directives.
RESPONSIBILITIES AND ACCOUNTABILITIES
- State filings — Forming, registering, and qualifying new entities across all 50 states; preparing and maintaining original stock certificates; preparing conversion, merger, and similar corporate restructuring documents to be filed across all 50 states and with the SEC; obtaining certifications across all 50 states (including good standings and certified charters) needed throughout the course of capital markets and M&A transactions); and preparing filings to effect the dissolution and cancellation of entities (including related tax filings) across all 50 states
- SEC matters — Obtaining and maintaining clients’ Edgar filing codes; preparing and making SEC filings on behalf of clients (including Form Ds); researching company filings and public disclosures in SEC filed documents via Intelligize; and obtaining copies of filed documents on behalf of SEC registered public companies.
- FINRA matters — Maintaining access to the FINRA Gateway; overseeing FINRA account management; and making FINRA filings for public securities offerings.
- IRS matters — Applying for, obtaining, and maintaining client Employer Identification Numbers (EINs).
- CTA matters — Having a working understanding of the Corporate Transparency Act (CTA), provided that all client services related to application of the CTA are subject to Hunton’s Firm Guidance and Resources for the Corporate Transparency Act.
- Training — Actively participates in firm and team sponsored training opportunities.
- Accountability — Generates revenue by meeting billable hour and other timekeeping expectations set forth by the firm. Proactively secures billable work, which may require working across teams and offices. Maintains current and accurate daily time log; inputs time records into firm’s time and accounting systems according to firm and outside counsel guideline. Accounts for complete workday.
- Performs special projects as assigned.
QUALIFICATIONS
- Education: High school diploma or equivalent required. College degree preferred. Paralegal certificate, National Association of Legal Assistants certification or specialty certificate provided by State helpful.
- Experience: Minimum of three years of paralegal or related business experience required; previous experience coordinating paralegal work or case clerks helpful.
- Other Qualifications: Intermediate knowledge and application of Federal, State and Local Rules. Knowledge of Microsoft Office and basic technological and research skills necessary to pull requested documents from online resources and familiarity with legal technology and computer databases required. Ability to train other paralegals and work efficiently and accurately under pressure, and present a positive, professional image with colleagues, professional staff, and vendors. Ability to work overtime or travel, as needed, on short notice essential. Ability to work well under pressure, patience, diplomacy, high stress tolerance, excellent interpersonal communication skills, ability to prioritize workload and adapt to changing conditions. Visual acuity needed for transcription, extensive reading and input (typing) of information into computer. Ability to receive and convey detailed information through oral communication. Essential competency processes include language ability, reasoning and memory.
