Summary:

The Corporate Paralegal will play a vital role in supporting the company’s General Counsel and  legal team by managing corporate documentation, ensuring compliance with regulatory requirements, and assisting with contracts and legal matters. This position requires a high degree of professionalism, organization, and attention to detail.

Responsibilities:

  • Maintain and organize corporate records, including minutes, resolutions, and filings.
  • Support preparation for board meetings, including drafting agendas, minutes, and other required documentation.
  • Assist in monitoring and maintaining compliance with federal, state, and local laws.
  • Manage corporate filings, licenses, and registrations, ensuring timely renewals.
  • Draft, review, and track contracts such as NDAs, vendor agreements, and service contracts.
  • Maintain a centralized database for contracts and ensure adherence to deadlines and obligations.
  • Provide assistance during mergers, acquisitions, and other corporate transactions, including due diligence and document preparation.
  • Support closing processes by coordinating document execution and managing related filings.
  • Conduct legal research on various topics as requested by attorneys.
  • Prepare summaries and reports on legal and regulatory issues.
  • Manage the legal department’s calendar, deadlines, and document workflows.
  • Respond to internal and external inquiries regarding legal matters.

Education and Experience:

  • Paralegal certification from an accredited program preferred.
  • Minimum of 3–5 years of experience as a corporate paralegal, preferably within a corporate or law firm setting.
  • Experience in contract management, compliance, or corporate governance is highly desirable.
  • Strong written and verbal communication skills.
  • Excellent organizational and multitasking abilities.
  • Proficiency with legal research tools, contract management software, and Microsoft Office Suite.
  • High level of accuracy and attention to detail.
  • Ability to work independently and prioritize tasks in a fast-paced environment.
  • Familiarity with corporate law and industry-specific regulations.

Physical Requirements:

  • Ability to reach, stand, walk, use fingers, grasp, feel, talk, hear, see and to perform repetitive motions.
  • Sedentary work: Exerting up to 10 lbs. of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects, including the human body. Sedentary work involves sitting most of the time.
  • Ability to reach with hands or arms, stand, walk, use hands or fingers, grip, grasp, feel, talk, hear, see, climb or balance, stoop, kneel, crouch and crawl and to perform repetitive motions.
  • Ability to sit at a desk and operate computer for extended periods of time.
  • The ability to lift and carry 15 lbs. on a regular basis is required and at times lifting up to 25 lbs. may be required.
